These Terms of Service ("Terms") govern your access to and use of Fileo, a receipt and invoice organization service operated by Precision Ledger Solutions ("we", "us", or "our"). By subscribing to or using Fileo, you agree to be bound by these Terms. Please read them carefully.
The Service
Fileo is a subscription-based software service that uses artificial intelligence to automatically extract data from receipts and invoices forwarded by email, organize and rename those documents, file them to your connected Google Drive account, and log the extracted data to a Google Sheet.
Fileo is designed as a document organization tool. It is not an accounting, bookkeeping, tax, legal, or financial advisory service. Any financial data extracted and organized by Fileo should be reviewed and verified by a qualified professional before being relied upon for tax, accounting, or business purposes.
Eligibility & Account
To use Fileo, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into a binding agreement
- Have a valid Google account with Google Drive
- Provide accurate and complete registration information
You are responsible for maintaining the confidentiality of your portal login and for all activity that occurs through your account. You must notify us immediately if you suspect unauthorized access to your account.
You may authorize team members (employees and vendors) to submit documents through your Fileo address. You are responsible for all activity conducted by authorized users under your account.
Subscription & Billing
Fileo is offered on a monthly subscription basis at CA$29 per month, per company. Each company you set up on Fileo requires a separate subscription.
- Billing: Your subscription is billed monthly on the date you subscribed. Billing is processed by Stripe, Inc.
- Automatic Renewal: Your subscription renews automatically each month unless cancelled.
- Cancellation: You may cancel your subscription at any time through the billing portal accessible from your Fileo portal. Cancellation takes effect at the end of your current billing period — you will not be charged for the following month.
- Refunds: We do not offer refunds for partial months of service. If you cancel mid-month, you retain access until the end of that billing period.
- Price Changes: We reserve the right to change our pricing with 30 days' notice. Price changes will be communicated by email.
All prices are in Canadian dollars (CAD) unless otherwise stated. You are responsible for any applicable taxes.
Acceptable Use
You agree to use Fileo only for its intended purpose — organizing legitimate business receipts and invoices. You must not:
- Submit fraudulent, forged, or falsified documents
- Use Fileo to process documents you do not have the right to submit
- Attempt to circumvent, disable, or interfere with the security features of the service
- Reverse engineer, decompile, or disassemble any part of the service
- Use the service in any way that violates applicable law or regulation
- Resell, sublicense, or redistribute access to the service without our written permission
- Transmit viruses, malware, or other harmful content through the service
We reserve the right to suspend or terminate accounts that violate these acceptable use requirements.
Google Drive Integration
Fileo requires you to authorize access to your Google Drive account using Google's OAuth 2.0 protocol. By connecting your Google Drive, you:
- Grant Fileo permission to create files and folders in your Google Drive
- Acknowledge that your documents and logs will be stored in your Google Drive account
- Understand that you retain full ownership of all data in your Google Drive
- Accept that Fileo's access is limited to files created by Fileo (drive.file scope)
You may revoke Fileo's access to your Google Drive at any time through your Google Account settings. Revoking access will prevent Fileo from filing new documents but will not delete previously filed documents from your Drive.

AI Processing
Fileo uses Google Gemini AI to extract data from your documents. By using the service, you acknowledge and agree that:
- The contents of documents you submit to Fileo will be processed by Google's Gemini AI API
- AI extraction is automated and may produce errors or omissions
- You are responsible for reviewing extracted data for accuracy
- We do not use your documents to train AI models
AI-extracted data should be treated as a starting point for your records, not as a definitive financial statement. Always verify extracted figures against original source documents.
Accuracy & Limitations
While we strive to provide accurate data extraction, Fileo's AI-powered extraction is not infallible. Factors that may affect accuracy include:
- Poor image quality or document resolution
- Handwritten documents or non-standard formats
- Documents in languages other than English or French
- Unusual receipt or invoice layouts
Important: Fileo is a document organization tool, not an accounting or tax service. You are solely responsible for verifying the accuracy of extracted data and for your financial records, tax filings, and compliance obligations. Do not rely on Fileo data without independent verification.
Fileo uses confidence scoring to flag potentially uncertain extractions. Rows flagged in yellow in your Google Sheet should be reviewed and corrected as needed.
Your Content
You retain full ownership of all documents, data, and content you submit to Fileo ("Your Content"). By using the service, you grant us a limited, non-exclusive license to process Your Content solely for the purpose of providing the Fileo service to you.
We do not claim ownership of Your Content. We do not use Your Content for any purpose other than delivering the service. Upon termination of your account, our license to process Your Content ends.
You represent and warrant that you have all necessary rights to submit Your Content to Fileo and that doing so does not violate any third-party rights or applicable law.
Intellectual Property
The Fileo service, including its software, design, branding, and documentation, is owned by Precision Ledger Solutions and is protected by Canadian and international intellectual property laws.
"Fileo" is a trademark of Precision Ledger Solutions. You may not use our trademarks, logos, or branding without our prior written consent.
Nothing in these Terms grants you any rights to our intellectual property other than the limited right to use the service as described herein.
Confidentiality
We treat your business documents and financial data as confidential. Our employees and contractors are bound by confidentiality obligations. We will not disclose your data to third parties except as described in our Privacy Policy or as required by law.
If we are required by law to disclose your information, we will notify you in advance where permitted by law.
Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that the service will be uninterrupted, error-free, or completely secure. We do not warrant the accuracy of any data extracted by our AI systems.
Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PRECISION LEDGER SOLUTIONS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the limitation of liability for certain types of damages, so the above limitations may not apply to you.
Termination
By You: You may cancel your subscription at any time through the billing portal. Your account will remain active until the end of your current billing period.
By Us: We reserve the right to suspend or terminate your account immediately if you:
- Violate these Terms of Service
- Fail to pay subscription fees
- Engage in fraudulent or illegal activity
- Use the service in a way that harms other users or our infrastructure
Effect of Termination: Upon termination, your access to the Fileo service will end. Your documents and data in Google Drive remain in your Google Drive under your ownership. Account data in our systems will be deleted within 90 days of termination, as described in our Privacy Policy.
Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any disputes arising from these Terms or your use of Fileo shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email at least 14 days before the changes take effect and update the "Last Updated" date at the top of this page.
Your continued use of Fileo after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must cancel your subscription before they take effect.
